PK Green USA – Terms and Conditions of Sale and Use

These Terms and Conditions (the "Terms") govern (i) your access to and use of the PK Green USA website located at www.pkgreen.com (the "Site") and (ii) any purchase of products or services ("Products") from PK Green Enterprise Limited ("PK Green," "PK Green USA," "we," "our," or "us"). PK Green USA is a trading name of PK Green Enterprise Limited. By accessing, browsing, or using the Site, or by placing an order, you ("Customer") agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply. Certain clauses apply only to Consumers or only to Business Purchasers; those clauses are clearly marked. Nothing in these Terms limits any mandatory statutory rights that cannot be waived ("Mandatory Rights"). If you do not agree, do not use the Site.
1 Company Information

1A Definitions
Consumer – an individual acting wholly or mainly for purposes outside their trade, business, craft, or profession.
Business Purchaser – any Customer that is not a Consumer (including companies, partnerships, and sole‑proprietors purchasing for business use).
Custom Product – a Product manufactured, printed, engraved, or otherwise personalized to the Customer's specifications.
Standard Product – any Product that is not a Custom Product.
Site – the PK Green USA website located at www.pkgreen.com and any related subdomains or mobile applications.
Mandatory Rights – statutory consumer rights that cannot be waived or excluded under applicable law.
Force Majeure Event – any event beyond PK Green's reasonable control including natural disasters, war, government actions, pandemic, cyberattacks, or supply chain disruptions.
2 Eligibility and Account
You may use the Site only if you are at least 18 years old (or the age of majority in your jurisdiction if higher than 18) and able to form a legally binding contract and if you comply with these Terms. You are responsible for safeguarding any account credentials and all activities that occur under your account. We may suspend or terminate your access if we suspect unauthorized or fraudulent activity.
2A Digital Content & Electronic Communications
By using this Site, you consent to receive electronic communications. Electronic signatures and records have the same legal effect as physical signatures and records. We comply with applicable e-commerce directives including EU Digital Content Directive where applicable.
3 Order Process & Formation of Contract
Quotation & Mock‑Up. We will send you (i) a written quotation or invoice with a secure payment link and (ii) a digital mock‑up of any custom artwork. Quotations are valid for 14 calendar days unless stated otherwise.
Contract Formation. The method of contract formation depends on the purchase process:
Invoice/Quotation Process: This applies when we send you a formal written quotation, invoice or payment link via email. A binding contract forms only when full payment is received by PK Green. Once payment is received, artwork is deemed approved and production will commence.
Website Checkout Process: For orders placed by adding Products to the shopping cart and completing online checkout directly on our website, a binding contract forms when we ship the goods and email your shipping confirmation.
Changes & Cancellations.
For Custom Products, because Products are made-to-order, the order may not be canceled or modified after contract formation without our written consent. Additional charges and extended lead-time may apply. Any agreed refund will be subject to deduction of costs already incurred.
For Standard Products, you may cancel or modify any time before we dispatch the goods by emailing admin@pkgreen.com. After dispatch, Section 6 applies.
Right to Refuse. We may refuse or cancel any order for any reason (e.g., stock limits, pricing errors, suspected fraud). Canceled orders are refunded promptly.
4 Pricing & Payment
Currency. All prices are in U.S. Dollars unless stated otherwise.
Payment Methods. We accept major credit cards, PayPal, ACH, and wire transfer. Payment is due in full at order time unless we agree otherwise in writing.
Payment Failure. If payment is declined, reversed, or otherwise fails after contract formation, we may immediately suspend performance, cancel the order, and pursue all available remedies. Customer remains liable for any costs incurred prior to cancellation.
Price Corrections. Obvious errors may be corrected before shipping; you may accept the correction or cancel for a full refund.
No Set‑Off / Charge‑Back. Customer shall pay all amounts without set‑off, deduction, counter‑claim, or withholding. Initiating any payment reversal, charge‑back, or similar action constitutes a material breach of these Terms, except that this clause does not limit any non‑waivable card‑network rights available to Consumers or rights under applicable consumer protection laws. For Business Purchasers, this restriction applies regardless of any disputes or claims.
4.1 Currency Fluctuation
For open quotations only (not binding contracts), prices quoted in currencies other than USD may be subject to adjustment if exchange rates fluctuate more than 5% between quotation and order acceptance. Once a binding contract is formed, prices are fixed regardless of currency fluctuations.
4.2 Promotional Pricing & Bulk Orders
Promotional prices, discounts, and bulk pricing are subject to specific terms provided at time of offer. Minimum order quantities may apply. Rush orders subject to additional fees and availability.
4.3 Gift Cards & Store Credit
Gift cards and store credit are non-refundable, non-transferable, and expire 60 months from issuance (5 years), except where local law requires longer periods or no expiration (including California, Connecticut, and other US states with no-expiration laws). In jurisdictions requiring no expiration, gift cards remain valid indefinitely. No cash value except where required by law. Unused balances may be subject to dormancy fees where permitted by law.
5 Shipping, Title & Inspection of Shipments
Title & Risk of Loss. For Consumers, risk of loss and damage passes when Products are delivered to the Consumer at the delivery address specified in the order. For Business Purchasers, risk of loss and damage passes when Products are delivered to and accepted by the carrier at our shipping point. Title passes at the same time unless Section 5.1 applies.
5.1 Retention‑of‑Title (Business Purchasers Only)
For Business Purchasers, title remains with PK Green until all sums owed to PK Green under this or any other agreement are paid in full in cleared funds. Risk of loss nonetheless passes in accordance with the preceding paragraph. Business Purchasers acknowledge that PK Green may file UCC-1 financing statements or equivalent security registrations to perfect this security interest where required by applicable law.
Transit Delays. Delivery dates are estimates; PK Green is not liable for carrier delays.
Inspection – Consumers. Please inspect shipments and notify us of any shortage, damage, or defect within 3 business days where reasonably possible. Failure to do so does not affect your Mandatory Rights regarding latent or hidden defects.
Inspection – Business Purchasers. Business Purchasers must inspect shipments within 24 business hours of receipt (or such a period as may be commercially reasonable given the nature of the Products) and report any shortage, damage, or defect with photographic evidence to admin@pkgreen.com. Failure to do so will constitute acceptance of the shipment as conforming, without prejudice to rights under Section 6.6. If inspection cannot reasonably be completed within 24 business hours due to shipment size or complexity, Customer may request a one-time extension to 72 business hours by emailing admin@pkgreen.com within the initial 24-hour period.
5‑A Display & Color Disclaimer
Screen colors vary. Site images and mock‑ups are illustrative; actual colors, textures, or details may differ.
6 Returns, Refunds & Limited Lifetime Warranty
6.0 Consumer Right of Withdrawal
UK Consumers: Consumers in the UK may cancel orders for Standard Products within 14 days of delivery under the Consumer Contracts Regulations. We refund all payments, including standard outbound shipping, within 14 days of receiving the returned goods. Customer is responsible for return shipping costs unless the Product was defective or mis-described, or local law requires otherwise.
EU Consumers: Consumers in the EU may cancel orders for Standard Products within 14 days of delivery under the Consumer Rights Directive. We refund all payments, including standard outbound shipping, within 14 days of receiving the returned goods. Customer is responsible for return shipping costs unless the Product was defective or mis-described, or local law requires otherwise (including certain EU member states that mandate merchant payment of return shipping).
Custom Products are exempt from withdrawal rights as personalized goods under applicable law.
6.1 Limited Lifetime Guarantee
We provide a lifetime guarantee on the construction of all PK Green lamps and light boxes, excluding normal wear and tear. This guarantee is a "Limited Warranty" under the U.S. Magnuson‑Moss Warranty Act where applicable.
Exclusions: This guarantee does not cover (a) weather damage, including damage from freezing conditions - items should not be left outside in autumn/winter, (b) misuse, accidents, or unauthorized modifications, (c) wear and tear, (d) LED light units and batteries within these units, as these parts are subject to wear and tear over time and are warranted separately for 10 years or 50,000 operating hours, whichever comes first, (e) electrical surges or power fluctuations, or (f) improper installation.
Discontinued Products: This guarantee does not apply to products which are no longer available for sale or have been discontinued.
Our Response: We will do our best to fulfill the guarantee by replacing the required part or by sending a replacement. If the exact replacement is not available, we are happy to substitute it with a suitable alternative product at our discretion. In the unlikely event that spare parts are not available, we may provide reimbursement.
Time Limit: This guarantee applies for up to 15 years from original purchase or until the product model is discontinued, whichever comes first.
Guarantee Claims: To make a guarantee claim, contact us at admin@pkgreen.com with proof of purchase and description of the issue. We may request photographs or return of the Product for inspection.
Return Shipping: If the Product needs to be returned to us for guarantee service, PK Green will pay for return shipping costs.
This guarantee gives you specific legal rights, and you may also have other rights that vary by jurisdiction. This guarantee is in addition to, and does not limit, any statutory rights that cannot be waived.
6.2 Damaged or Defective Items
If your Product arrives damaged or has a defect, our Limited Lifetime Warranty applies. Contact us immediately at admin@pkgreen.com and we will repair or replace your Product free of charge. If the Product needs to be returned to us, we will pay for return shipping costs. Retain original packaging for return shipping if required.
6‑A Unwanted Returns (Standard Products Only)
Return Eligibility: Return non‑custom Standard Products within 14 days of delivery in unused, original condition and packaging with proof of purchase.
Return Process: Email admin@pkgreen.com to initiate a return. We will provide return instructions and address (US or UK location as appropriate). Customer pays return shipping costs, which are non-refundable.
Inspection & Refund: Once your return is received and inspected, we will email you confirmation of receipt and notify you of approval or rejection of your refund. If approved, refund will be processed to your original payment method within 14 days of receipt.
Partial Refunds: Partial refunds may be granted for items not in original condition, damaged, or missing parts for reasons not due to our error.
6.4 Custom Products (non‑returnable)
Custom Products cannot be returned or refunded; the Limited Lifetime Warranty still applies.
6.5 Additional Return Terms
- No refunds on sale items unless the item is defective, required by mandatory consumer rights, or covered under our Limited Lifetime Warranty.
- Exchanges only for defective/damaged items (same item replacement).
- Use a trackable, insured service for returns over $75. We do not guarantee receipt of untracked returns.
- Late or missing refunds: If you haven't received a refund, first check your bank account, then contact your credit card company as posting may be delayed. Contact your bank about processing time. If you still haven't received your refund after these steps, contact us at admin@pkgreen.com.
- Gift purchases: If the item was marked as a gift when purchased and shipped directly to you, you'll receive a gift credit for the value of your return once the item is received. If the item wasn't marked as a gift, or the gift giver had it shipped to themselves first, we will refund the gift giver who will be notified of your return.
6.6 Warranty Disclaimer (Business Purchasers Only)
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, PK GREEN DISCLAIMS ALL OTHER WARRANTIES TO BUSINESS PURCHASERS TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PRODUCTS ARE PROVIDED "AS IS" TO BUSINESS PURCHASERS. This disclaimer does not apply to Consumers where prohibited by Mandatory Rights.
LIMITATION OF REMEDY (Business Purchasers Only): FOR BUSINESS PURCHASERS, THE LIMITED LIFETIME WARRANTY SET FORTH IN SECTION 6.1 IS THE EXCLUSIVE REMEDY FOR ALL PRODUCT-RELATED CLAIMS. BUSINESS PURCHASERS WAIVE ANY RIGHT TO CLAIM SPECIFIC PERFORMANCE, INJUNCTIVE RELIEF (EXCEPT FOR IP INFRINGEMENT), OR OTHER EQUITABLE REMEDIES.
6.7 Statutory Warranties (Business Purchasers)
Business Purchasers acknowledge that implied warranties may be disclaimed where permitted by law. Where disclaimer is not permitted, implied warranties are limited to the duration of our express Limited Lifetime Warranty.
6.8 Product Safety Notices & Recalls
If we become aware that any Product is subject to a mandatory safety recall, we will use commercially reasonable efforts to notify affected customers via the last contact details in our records and to post a notice on the Site. We are not responsible for failed delivery of notices caused by outdated contact details or technical issues outside our control.
Customers must comply with any mandatory recall instructions issued by competent governmental authorities. Unless a non-waivable law provides otherwise, our liability for recall remedies is limited to (a) the original purchase price you paid, or (b) the cost of repair or replacement parts, whichever is less.
Recall obligations under this Section apply for seven (7) years from the original sale date or until the product model is discontinued, whichever comes first. Nothing in this Section limits PK Green’s obligations under any non-waivable product-safety laws or the authority of regulators to order a recall at any time.
6‑B New Zealand CGA Waiver (Business Purchasers – NZ Only)
If you acquire Products for business purposes in New Zealand, then, pursuant to section 43(2) of the Consumer Guarantees Act 1993, the guarantees of that Act do not apply.
7 Intellectual Property & Re‑Sale Restrictions
Site Content. All Site content is copyrighted. All content on the Site (text, graphics, images, software, etc.) is owned by or licensed to PK Green and protected by international copyright, trademark, and other laws. Images, product descriptions, titles, and all other content on this Site are copyrighted by PK Green Enterprise Limited. You may not reproduce or repurpose any such content for personal or commercial use without written permission.
Commercial Re-Sale Restrictions. You may not use PK Green trademarks, trade names, product images, descriptions, or marketing materials in connection with resale without our prior written consent. You may not represent yourself as an authorized dealer, distributor, or retailer of PK Green Products without entering into a separate written dealer agreement with us.
Private resale of legitimately purchased Products is permitted, but commercial distribution, systematic resale, or business-to-business sales require our written authorization. "Commercial distribution" means regular resale activity, selling to retailers, or marketing Products as part of a business operation (including through websites, marketplaces, trade shows, or catalogs).
This restriction does not limit your right to resell individual Products you have legitimately purchased for your own use, provided you do not use our intellectual property in such resale or represent any ongoing commercial relationship with PK Green.
Our authorization for commercial distribution will be granted through our authorized dealer program and will not be unreasonably withheld where required by applicable competition laws.
Trademark Use. You may not use PK Green trademarks, trade names, images, titles, or product descriptions in any commercial context without permission.
7A Third-Party Platforms
Products sold through third-party platforms (Amazon, eBay, etc.) are subject to both these Terms and platform-specific terms. In case of conflict, these Terms govern our direct relationship with you.
8 Customer Materials & IP Indemnity
You warrant you own or control rights to any Customer Content and will indemnify PK Green against third‑party claims.
8A Photography & Marketing Rights
For Business Purchasers: PK Green may photograph, video, or otherwise document Products for marketing purposes. PK Green may use photographs or videos of Products produced for you—including logos or graphics embedded in those Products—and may reference your company or brand as a client in our marketing materials (online or in print), subject to applicable data protection laws. We may publish such materials for marketing purposes at any time within 5 years from delivery. Once published, materials may remain in use indefinitely unless you request removal. We will ensure these materials do not include personally identifiable information. The geographic scope of such use is limited to countries where PK Green conducts business. By purchasing, you grant us these limited marketing rights, subject to reasonable privacy expectations. You may opt-out of marketing use by emailing admin@pkgreen.com before or after purchase.
8B Customer Reviews & Content
Customers may submit reviews and content. We may moderate, edit, or remove content at our discretion. False or defamatory content is prohibited. You retain ownership but grant us license to use for business purposes.
9 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PK GREEN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, GOODWILL, OR PROCUREMENT OF SUBSTITUTE GOODS — ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF PK GREEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL EVENTS, AND EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW (INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE OR FOR FRAUD), PK GREEN'S AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO ANY ORDER OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO PK GREEN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE THE FIRST CLAIM IS MADE. THESE LIMITATIONS APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
Notwithstanding the above limitations, our liability for willful misconduct or gross negligence cannot be limited where prohibited by law.
Time Limitation on Claims. No action or proceeding relating to the Products or these Terms may be commenced more than the following periods after the cause of action accrues: (a) for Consumers: 2 years, or such longer period as required by applicable consumer protection law, (b) for Business Purchasers: one (1) year, or such longer period as mandated by applicable law.
Some jurisdictions do not allow certain liability exclusions or limitations; where prohibited, those exclusions or limitations do not apply.
Liability Cap (Marketing, Data-Protection & Product-Safety). Except for (i) liability that cannot be excluded or limited by law (including liability for death or personal injury caused by our negligence, or statutory fines imposed by a supervisory authority), and (ii) your mandatory consumer rights, PK Green's total aggregate liability to you for breach of its marketing-rights obligations, data-protection obligations, or product-safety obligations in any twelve (12)-month period will not exceed the total amount you paid to PK Green during that period [for marketing/data protection claims] or for the specific Products giving rise to the claim [for product safety claims].
10 Indemnification
You agree to indemnify, defend, and hold harmless PK Green, its directors, officers, employees, agents, and affiliates from all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your misuse of the Site or Products, (c) your violation of any law or third‑party rights, or (d) claims relating to Customer Content.
Anti-Assignment: Customer may not assign, transfer, or sell any claims against PK Green without our prior written consent. Any attempted assignment is void.
Attorneys' Fees: If PK Green successfully defends against any frivolous, vexatious, or bad faith claim, Customer will reimburse PK Green's reasonable attorneys' fees and costs.
11 Compliance with Laws
You must comply with all applicable U.K., U.S., EU, and international laws, including export controls, sanctions, consumer‑protection laws, data‑protection laws, accessibility requirements, and any local certification or import requirements in the destination country. Customer warrants compliance with all applicable product safety standards including but not limited to CPSC requirements (US), CE marking (EU), and Health Canada standards where applicable. Customer warrants it will not engage in bribery, corruption, or other illegal business practices.
Export Controls. Customer acknowledges Products may be subject to export controls under US Export Administration Regulations (EAR), EU dual-use regulations, and other jurisdictions. Customer acknowledges that export license requirements are complex and subject to change. Customer is solely responsible for determining applicable export/import requirements and obtaining any necessary licenses, permits, or authorizations before export, re-export, or transfer. Customer will not export to prohibited destinations or end-users. PK Green provides no warranty regarding export compliance.
Digital Services Compliance: We comply with applicable EU Digital Services Act requirements. EU users may report illegal content through our standard contact channels.
Sanctions & Restricted Parties. Customer warrants that it is not (i) located in, organized under the laws of, or a national of any country currently subject to comprehensive economic sanctions by the US, EU, or UK (as of the effective date, including Iran, North Korea, Syria, Cuba, and designated regions of Russia, Belarus, and Ukraine), (ii) listed on any government restricted parties list including the US OFAC Specially Designated Nationals List, EU Consolidated List, or UK Consolidated List, or (iii) owned or controlled by any such person or entity. Customer will immediately notify PK Green if this status changes.
We strive to maintain reasonable accessibility standards. If you encounter accessibility barriers, contact us for assistance at admin@pkgreen.com.
(Business Purchasers Only) You must ensure downstream purchasers comply with applicable safety laws and will indemnify PK Green for losses arising from non‑compliance.
11A Environmental Compliance
We comply with applicable environmental regulations including REACH (EU), RoHS, and packaging waste directives. Customers purchasing for resale must ensure downstream compliance with local environmental laws.
Product Disposal & Recycling. Electronic components should be disposed of according to local e-waste regulations. Customers are responsible for proper disposal in accordance with local environmental laws.
12 Government Contracts (Business Purchasers Only)
No government terms bind PK Green unless agreed in writing. Customer must flow this exclusion to higher‑tier contractors.
13 Data Protection & Privacy
Our collection and processing of personal data are governed by our Privacy Policy, which is incorporated by reference. We comply with all applicable data-protection laws that apply to our business operations.
Your Rights. Depending on your location, you may have rights to access, rectify, erase, restrict, object to, or port your personal data, and to withdraw consent where processing is based on consent. We will respond to such requests in accordance with applicable legal requirements.
Data Retention. We retain personal data only as long as necessary for the purposes for which it was collected or to meet our legal and regulatory obligations, generally 3–5 years from your last interaction with us, or such longer period as required by applicable law (e.g., tax or product-safety record-keeping).
International Transfers. Personal data may be processed in countries other than your own. Where required, we rely on recognized safeguards such as Standard Contractual Clauses or the UK IDTA to ensure an adequate level of protection.
13A California Consumer Rights
California residents have additional rights under the California Consumer Privacy Act (CCPA) and California Civil Code § 1793.2. We comply with California's Song-Beverly Consumer Warranty Act, including requirements for warranty service availability, reasonable repair attempts, and consumer remedies for warranty failures within California.
Other US State Rights: Residents of New York, Texas, Florida, Illinois, and Massachusetts may have additional consumer protection rights under state law. Nothing in these Terms waives such rights where non-waivable.
13B Canadian Consumer Rights
Canadian residents retain rights under applicable provincial consumer protection acts including Ontario Consumer Protection Act, BC Business Practices and Consumer Protection Act, and Alberta Fair Trading Act where applicable.
14 Force Majeure
PK Green is not liable for delays or failure to perform caused by events beyond its reasonable control (e.g., natural disasters, war, labor disputes, government actions, pandemic, supply chain disruptions, cyberattacks, sanctions, or material increases in shipping costs beyond PK Green's control). If performance is delayed more than six (6) months, either party may terminate the unperformed portion of the order without further liability.
15 Governing Law & Jurisdiction
Governing Law. These Terms are governed by and construed in accordance with the laws of England & Wales, without regard to conflict of law principles. However, where you are a Consumer, nothing in this choice of law provision deprives you of the protection of mandatory provisions of the law of the country in which you are habitually resident.
Jurisdiction. The courts of England & Wales have exclusive jurisdiction over any disputes arising from these Terms, except that Consumers may bring proceedings in the courts of their country of residence where required by mandatory consumer protection laws.
Australian Consumer Law Notice (Consumers – AU). Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.
New Zealand Consumers. New Zealand residents purchasing for personal use retain rights under the Fair Trading Act 1986 and Consumer Guarantees Act 1993 where applicable.
Mandatory Consumer Rights. Nothing in these Terms limits any Mandatory Rights.
Informal Dispute Resolution. Before commencing proceedings, you agree to attempt to resolve the dispute informally by providing written notice to PK Green and allowing 30 days for resolution.
These Terms are published in English; any translation is for convenience only and the English version controls. The U.N. Convention on Contracts for the International Sale of Goods (CISG) does not apply.
15A EU Online Dispute Resolution

16 Arbitration & Class‑Action Waiver
PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights.
Binding Arbitration. Except for (a) claims suitable for a small‑claims court or (b) requests for urgent injunctive relief, any dispute relating to these Terms, the Site, or the Products will be settled by binding arbitration administered by the International Chamber of Commerce (ICC) under its Rules of Arbitration. The seat of arbitration will be London, England, and the language will be English. If ICC arbitration is unavailable for any reason, arbitration will be conducted under the LCIA Rules by the London Court of International Arbitration. This arbitration clause does not apply to Consumers in jurisdictions where consumer arbitration abroad is prohibited by law, including but not limited to certain EU member states. Such Consumers retain the right to bring disputes in their local courts.
Arbitrator Authority. The arbitrator will have the power to grant any remedy that would be available in court, including injunctive relief, but may not award punitive damages unless permitted by applicable law. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Costs. For claims under US $10,000, PK Green will pay the ICC filing and arbitrator fees, unless the arbitrator determines your claim is frivolous. For larger claims, fees will be allocated as the arbitrator decides or as required by applicable law.
YOU AND PK GREEN AGREE TO ARBITRATE ONLY ON AN INDIVIDUAL BASIS; NO CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS ARE PERMITTED. The arbitrator may award individual relief but may not consolidate more than one person's claims or preside over any form of class, collective, or representative proceeding.
Consumer Opt‑Out. If you are a Consumer, you may opt‑out of this arbitration clause (including the class‑action waiver) within 30 days of purchase by emailing admin@pkgreen.com or writing to the address in Section 20. Opting out will not affect any other part of these Terms.
California Consumers. Pursuant to California Civil Code § 1770 et seq., California residents may also pursue claims through California state agencies and retain all rights under California's Unfair Competition Law.
Québec Consumers. The arbitration clause and class‑action waiver do not apply to Consumers resident in Québec, Canada. Québec Consumers retain their right to bring disputes before the courts of Québec and to participate in class actions where permitted by law. Québec Consumers retain all rights under the Consumer Protection Act and may bring claims before Quebec courts. Class actions remain available where permitted by Quebec law.
17 Miscellaneous
Assignment by PK Green. PK Green may assign or transfer its rights and obligations under these Terms to any affiliate, successor, or acquirer without restriction.
Assignment by Buyer. Buyer may not assign any rights or claims without PK Green's written consent; any attempt to assign is void. These Terms bind successors and permitted assigns.
Website Access & Accuracy. You access the Site at your own risk and cost. We strive for accuracy but content may contain errors. PK Green may correct errors and cancel orders involving pricing or availability mistakes.
No Waiver. Failure to enforce any right is not a waiver of that right.
Severability. If any provision is held invalid, the remaining provisions remain in full force.
Survival. Sections that by their nature should survive (including Sections 5, 6.6, 8–10, 11–17) do survive.
Relationship of Parties. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and PK Green.
Headings. Headings are for convenience only and do not affect interpretation.
18 Changes to the Terms
We may modify these Terms by posting an updated version on the Site with a new "Effective Date." Continued use of the Site after the Effective Date constitutes acceptance of the revised Terms.
19 Entire Agreement
These Terms, together with any quotation/invoice, artwork approval, and referenced policies, constitute the entire agreement between you and PK Green and supersede all prior communications.
